1. Introduction

Welcome to Synton Marketplace ("Platform"), a service provided by Synton AI LLC ("Company", "we", "us"). This Platform facilitates the buying and selling of e-commerce stores between verified parties. By using our Platform, you agree to these Terms of Service.

2. Commission & Fees

Success Fee: 5% of Final Sale Price

Synton Marketplace charges a success fee of 5% of the final agreed sale price upon successful completion of a transaction. This fee is payable by the seller and is deducted from the sale proceeds before disbursement.

  • No upfront fees - Listing your store is completely free
  • No monthly fees - Keep your listing active as long as needed
  • Pay only on success - The 5% fee is only charged when the deal closes
  • Simple pricing - 5% of final sale price, no hidden fees

3. Escrow & Payment Process

All transactions on Synton Marketplace are processed through our secure escrow service:

  1. Agreement - Buyer and seller agree on final price and terms
  2. Escrow Deposit - Buyer deposits funds into Synton escrow account
  3. Asset Transfer - Seller transfers store ownership to buyer
  4. Verification Period - 7-day inspection period for buyer to verify assets
  5. Release - Funds released to seller (minus 5% commission)

4. Verified Data & Accuracy

All stores listed on Synton Marketplace display metrics verified directly from platform APIs:

  • Revenue figures are pulled from actual order data
  • Customer counts reflect real registered customers
  • Product counts and order volumes are verified in real-time
  • Sellers cannot manually edit or inflate these metrics
  • Data is refreshed automatically and timestamped

While we verify platform data, buyers are responsible for conducting their own due diligence regarding traffic sources, supplier relationships, and other business aspects.

5. Seller Obligations

As a seller on Synton Marketplace, you agree to:

  • Provide accurate information about your store that is not automatically verified
  • Respond to buyer inquiries within 48 business hours
  • Not list stores that are involved in fraudulent activity
  • Complete the transfer process within 14 days of escrow funding
  • Provide reasonable handover support (minimum 30 days email support)
  • Not circumvent the Platform to avoid commission fees

6. Buyer Obligations

As a buyer on Synton Marketplace, you agree to:

  • Provide proof of funds before entering serious negotiations
  • Complete due diligence before finalizing the purchase
  • Fund escrow within 5 business days of agreement
  • Complete the verification period review within 7 days
  • Not share confidential seller information with third parties
  • Not contact sellers outside the Platform to avoid fees

7. Anti-Circumvention Policy

Important: If buyers and sellers connected through Synton Marketplace complete a transaction outside the Platform to avoid commission fees, both parties will be liable for:

  • The full 5% commission fee that would have been owed
  • An additional 5% penalty fee
  • Permanent ban from the Platform
  • Legal action to recover owed fees

8. Dispute Resolution

In case of disputes between buyers and sellers, Synton Marketplace will act as a neutral mediator. Our dispute resolution process includes:

  1. Initial review of all communications and agreements
  2. Request for additional documentation from both parties
  3. Mediation call with both parties
  4. Final binding decision by Synton Marketplace

During disputes, escrow funds remain frozen until resolution.

9. Limitation of Liability

Synton Marketplace provides a platform for connecting buyers and sellers. While we verify platform metrics, we do not guarantee:

  • Future performance of any listed store
  • Accuracy of seller-provided information not from platform APIs
  • Success of any business after transfer
  • Quality of supplier or vendor relationships

Our maximum liability is limited to the commission fees paid for the specific transaction.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of the Platform after changes constitutes acceptance of the new Terms.
